Terms of Service

Draft for legal review · 17 October 2026

These terms describe how Emerzin Technologies (“Emerzin”, “we”) generally works with clients. They are a general draft and should be reviewed by a qualified lawyer before either party relies on them. A signed proposal or project agreement controls that engagement where the two differ.

1. Services

We design and build software, websites, applications, business systems, integrations, and related delivery work. The scope, deliverables, and timeline for a project are those set out in the written proposal or agreement for that project.

2. Client responsibilities

You provide timely access, decisions, content, and approvals that the work needs. Delay in those inputs can move the schedule.

3. Changes

Work outside the agreed scope is additional work. We review the effect on scope, cost, and timeline before that work proceeds.

4. Fees

Fees, milestones, and payment timing are those stated in the project proposal or agreement. This page does not set a price.

5. Intellectual property

Ownership and usage rights are defined in the project agreement. For custom development, the agreed handover can include source, documentation, and access, subject to that scope and to any third-party licence that applies to tools we did not create.

6. Third-party services

Projects may depend on third-party software, hosting, or communication tools. Those services are governed by their own terms. We do not control their availability.

7. Confidentiality

Each party keeps confidential the non-public business and project information it receives from the other, and uses it only for the project, unless the information is already public or disclosure is required by law.

8. Delivery and handover

Delivery, acceptance, and handover follow the project agreement. Where the agreement includes them, handover items can include source, documentation, access, and deployment information.

9. Support

Support and maintenance after launch apply only when they are agreed separately, including any response expectations and fees.

10. Liability

To the extent the law allows, our liability for a project is limited to the fees paid to us for that project. We are not liable for indirect or consequential loss. Nothing in these terms limits liability that the law does not allow to be limited. This wording is a draft and needs legal review before it is treated as binding.

11. Ending the work

Either party may end an engagement as the project agreement allows. Fees for work completed before that point remain payable.
